AS USED HEREIN, THE TERMS "YOU" AND "USER" SHALL MEAN ANY VISITOR TO THE WEBSITE AT WWW.BLACKLIGHTGO.COM, ASSOCIATED MOBILE WEBSITES, AND OTHER ONLINE SERVICES USED BY OR BEHALF OF BLACKLIGHT RESEARCH, LLC. THE TERM "SUBSCRIBER" SHALL MEAN ANY NATURAL PERSON REGISTERED IN A SUBSCRIPTION PACKAGE WITH BLACKLIGHT RESEARCH, LLC, EITHER INDIVIDUALLY OR THROUGH A GROUP.

FROM TIME TO TIME IN OUR SOLE DISCRETION, WE WILL NOTIFY YOU OF AMENDMENTS TO THESE TERMS AND CONDITIONS BY POSTING THEM TO THIS PAGE. License to use websites

Unless otherwise stated, Blacklight Research, LLC ("Blacklight") owns the intellectual property rights in its websites and material on its websites, including associated mobile websites (hereinafter collectively the "Portals").  Subject to the non-exclusive license below, all these intellectual property rights are reserved.

You may view, download for caching purposes only, and print pages and files from the Portals for your individual use, subject to the restrictions set out below and elsewhere in these terms and conditions. You acknowledge that use of the Portals may be monitored, tracked, and recorded. You expressly consent to such monitoring, tracking, and recording.

 

You must not:

 

  • republish any material from the Portals (including republication on another website);

  • sell, rent or sub-license any material from the Portals;

  • show any material from the Portals in public;

  • reproduce, duplicate, or copy any material on the Portals;

  • edit or otherwise modify any material on the Portals; or

  • share or redistribute any material from the Portals, except for content specifically and expressly made available for redistribution by the written consent of Blacklight.

     

Acceptable use

 

You must not use the Portals in any way that causes, or may cause, damage to the Portals or impairment of the availability or accessibility of the Portals; or in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.

 

You must not use the Portals to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit or other malicious computer software.

 

You must not conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) on or in relation to the Portals without Blacklight's express written consent.

 

You must not use the Portals to transmit or send unsolicited commercial communications, with the exception that you are permitted to use the Connect page's Mail Form to send a private message to Blacklight on matters of business interest.

 

You must not use the Portals for any purposes related to marketing without Blacklight's express written consent. 

 

Restricted access

 

Blacklight provides subscriptions to its published content in exchange for fees. Blacklight offers and provides more than one kind of service package to its clients. Access to certain areas of the Portals is or may be restricted to Subscribers who have paid for a different service package. Blacklight reserves the right to restrict access to other areas of this website, or indeed this entire website, at Blacklight's sole discretion.

If Blacklight or its contractor provides you with a user ID and password to enable you to access restricted areas of this website or other content or services, you must ensure that the user ID and password are kept confidential and not shared with anyone, including anyone in your firm or group. Each valid user has unique login credentials. 

 

Blacklight may disable your user ID and password in Blacklight's sole discretion without notice or explanation.

 

 

Subscriptions

 

We offer two service packages for access to our published content: "Research Products" and "Full Access".

Research Product Subscriptions are available to the general public, generally on a business to business (B2B) basis. You may request information about these subscriptions by sending us a message using the Contact Us form on this website. Blacklight may offer free trials of its Research Products and Full Access Services, including the Portals, for brief intervals of time at Blacklight's sole discretion, but Blacklight makes no warranty that unpaid use of its Research Products and Full Access Services, including the Portals, will be available at any time.

Research Product Subscriptions provide a limited, non-perpetual, non-exclusive, revocable, fee-based license to access our Research Products. Up to 50 users employed by a Research Product Subscriber will each be entitled to a dedicated user name and password for access to the Portals. These unique credentials may not be shared with anyone. If you access the Portals through a Research Products Subscription, you agree that failure to abide by this anti-sharing rule is a fundamental violation of these Terms of Use and is grounds for immediate termination of service without reimbursement of any fees already paid. You also acknowledge your understanding that such sharing is a violation of US and international copyright law, with US liability of up to $150,000 per infringement.

Blacklight and/or its contractors may provide each Subscriber with decryption software so that each Subscriber will be able to read any PDF files of Blacklight published content that have been encrypted by Blacklight as a means to protect its intellectual property. Blacklight's research blog, research notes, presentation decks, videos, dashboards, chartbooks, and other research materials posted to the Portals, whether encrypted or not, are Blacklight's published content ("Research Products").

If you are a Research Products Subscriber, in addition to access to the Research Products on the Portals, you shall receive by email pdf copies of Blacklight's "Barebones", "Clarity", and other regular research products, as well as other research materials that Blacklight may distribute from time to time to its Subscribers, at Blacklight's sole discretion on timing and frequency of such electronic communications. Research Product Subscriptions are "one-way" pathways for Blacklight's transmission of its Research Products to its Subscribers. As a Research Products Subscriber, you will not be able to query, or have access to, Blacklight's research analysts. Access to research analysts is a separate service provided only through Full Access Subscriptions and Speaking Engagements (see next section entitled "Full Access Subscription").

Full Access Subscription

​

Blacklight offers a limited number of Full Access Subscriptions. These service packages are also non-exclusive and are provided under individualized Research Service Agreements between Blacklight and each Full Access Subscriber. Research services provided in Full Access Subscriptions may include but are not limited to regular briefings to managements or boards of directors and bespoke research projects that may or may not be shared with other Subscribers. Blacklight also enters into Research Service Agreements for speeches at public and private events ("Speaking Engagements"). For more information on Full Access Subscriptions or Speaking Engagements, and how they may be tailored to your particular business needs, please contact Blacklight.

 

 

User content

Blacklight's Portals are intentionally configured to be passive, "one-way" electronic platforms for communication from Blacklight to its Users. Users are not able to submit or post content to the Portals, with the exception of the electronic Mail Form on the "Connect" page. Any messages sent by this tool go to Blacklight only. Such messages are private communications and will not be posted on the Portals or published or redistributed without a User's consent.

 

Notwithstanding the technical limitations and privacy protections imposed by Blacklight, you agree that your user content must not be illegal or unlawful, must not infringe any third party's legal rights, and must not be capable of giving rise to legal action whether against you or Blacklight or a third party (in each case under any applicable law). 

 

You must not submit any user content to the website that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint.

 

Blacklight reserves the right to edit or remove any material submitted to the Portals (in their current or future form), or stored on Blacklight's servers, or hosted or published upon this website and associated websites.

 

No warranties

 

This website is provided “as is” without any representations or warranties, express or implied.  Blacklight makes no representations or warranties in relation to the Portals or the information and materials provided on the Portals. 

 

Without prejudice to the generality of the foregoing paragraph, Blacklight does not warrant that:
 

  • this website will be constantly available, or available at all; or

  • the information on this website is complete, true, accurate, suitable or non-misleading.


Nothing on this website constitutes, or is meant to constitute, advice of any kind, including investment advice. If you require advice in relation to any financial matter, you should consult an appropriate professional. Blacklight is a publisher. You acknowledge your understanding that Blacklight is not an investment adviser and, in providing the Research Products, is not acting as an investment adviser to you or to any companies, funds, or accounts which you oversee, manage, or advise. Blacklight shall have no responsibility for any investment decision you make for your accounts or any member or client accounts.

 

Exceptions

 

Nothing in these Terms of Use will exclude or limit any warranty implied by law that it would be unlawful to exclude or limit; and nothing in these Terms of Use will exclude or limit Blacklight's liability in respect of any:

 

  • death or personal injury caused by Blacklight's gross negligence;

  • willful misfeasance, bad faith, or gross negligence on the part of Blacklight; or

  • matter which it would be illegal or unlawful for Blacklight to exclude or limit, or to attempt or purport to exclude or limit, its liability

 

Reasonableness

 

By using the Portals, you agree that the exclusions and limitations of liability set out in these terms and conditions of use are reasonable. If you do not think they are reasonable, you must not use the Portals.

 

Other users and Subscribers — products and services not exclusive

 

You understand and acknowledge that Blacklight performs research services for, and provides research products to, other Subscribers.

 

Liability of other parties

 

You accept that Blacklight, as a limited liability company, has an interest in limiting the personal liability of its members, officers, and employees. You agree that you will not bring any claim personally against Blacklight's members, officers, or employees in respect of any losses you suffer in connection with the Research Products or the Portals.

 

Without prejudice to the foregoing paragraph, you agree that the limitations of warranties and liability set out in this website disclaimer will protect Blacklight's members, officers, employees, agents, subsidiaries, successors, assigns, and subcontractors as well as Blacklight.

 

Indemnity

 

You hereby indemnify Blacklight and undertake to keep Blacklight indemnified against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by Blacklight to a third party in settlement of a claim or dispute on the advice of Blacklight's legal advisers) incurred or suffered by Blacklight arising out of any breach by you of any provision of these terms and conditions, or arising out of any claim that you have breached any provision of these terms and conditions.

 

Breaches of these terms and conditions

 

Without prejudice to Blacklight's other rights under these terms and conditions, if you breach these terms and conditions in any way, Blacklight may take such action as Blacklight deems appropriate to deal with the breach, including suspending your access to the Portals, prohibiting you from accessing the Portals, blocking computers using your IP address from accessing the Portals, contacting your internet service provider to request that they block your access to the Portals and/or bringing court proceedings against you.

 

Variation

 

Blacklight may revise these Terms of Use from time-to-time.  Revised terms and conditions will apply to the use of the Research Products and the Portals from the date of the publication of the revised terms and conditions as posted on this website.  Please check this page regularly to ensure you are familiar with the current version.

 

Assignment

 

Blacklight may transfer, sub-contract or otherwise deal with Blacklight's rights and/or obligations under these terms and conditions without notifying you or obtaining your consent.

 

You may not transfer, sub-contract or otherwise deal with your rights and/or obligations under these Terms of Use.

 

Severability

 

If a provision of these Terms of Use is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect.  If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

 

Entire Agreement

 

These terms and conditions, together with the Disclosures, Privacy Policy, and Cookie Policy, all also available on the public pages of this website, and your executed Order Form, if any, constitute the entire agreement between you and Blacklight in relation to your access to and use of the Research Products and the Portals, and supersede all previous agreements in respect of your use of the same.

 

Law and jurisdiction

 

These terms and conditions will be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts in the United States of America, and any disputes relating to these terms and conditions will be subject to the exclusive jurisdiction of the courts of the Commonwealth of Massachusetts.

 

Force majeure

 

Blacklight shall not be liable for, nor be considered in breach of this Agreement as a result of, a cause beyond its control, including any act of God or a public enemy or terrorist, act of any military, civil, or regulatory authority, change in any law or regulation, fire, flood, earthquake, storm or other like event, disruption or outage of communications, power, or other utility, labor problem, unavailability of supplies or transportation, or any other cause, whether similar or dissimilar to any of the foregoing, which could not have been prevented by Blacklight with reasonable care (each, a "Force Majeure Event").
